Welcome to Toolso.AI. These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you and Toolso.AI ("we", "us", "our") governing your use of our AI tools directory and navigation platform.
By accessing or using Toolso.AI, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.

Toolso.AI is an AI tools directory and navigation platform that:
- Curates and catalogs third-party AI tools and services
- Provides search, filtering, and discovery functionality
- Offers user reviews, ratings, and tool comparisons
- Sends newsletters and recommendations about AI tools
- Acts as a reference resource for AI tool information
Toolso.AI is NOT:
- An AI tool provider or operator
- A marketplace or transaction platform (except for the paid tool submission service described in Sections 12 and 18)
- A reseller or distributor of AI services
- Responsible for the operation of listed third-party tools
- A party to any agreements between you and third-party tool providers
CRITICAL NOTICE: All AI tools listed on our platform are provided by independent third-party vendors. We:
- Do NOT operate, control, or maintain any of the AI tools listed
- Do NOT endorse, guarantee, or warrant the quality, safety, legality, or accuracy of third-party tools
- Do NOT have any relationship with third-party tool providers beyond listing their information
- Are NOT responsible for the actions, services, content, or policies of third-party tools
- Do NOT receive compensation from most third-party tool providers (except where disclosed as "Sponsored")
When you click on a link to a third-party AI tool:
- You are leaving our platform and entering a third-party website
- You are subject to that third party's own terms of service, privacy policy, and other agreements
- Any transactions, data sharing, or interactions are solely between you and the third party
- We do not receive information about your use of third-party tools
- We are not liable for any damages, losses, or issues arising from your use of third-party tools
While we make reasonable efforts to ensure accuracy:
- Tool information may be outdated, incomplete, or incorrect
- Pricing, features, and availability may change without notice
- We do not verify all claims made by third-party tool providers
- Users should independently verify information before using any tool
We provide NO WARRANTY regarding third-party AI tools, including but not limited to:
- Functionality, performance, or availability
- Data security, privacy practices, or compliance
- Legal compliance or intellectual property rights
- Fitness for any particular purpose
- Freedom from viruses, malware, or harmful components
USE THIRD-PARTY AI TOOLS AT YOUR OWN RISK.
To access certain features, you must create an account. You agree to:
- Provide accurate, complete, and current information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
- Be responsible for all activities under your account
You must be at least 13 years old (or 16 in the EU) to create an account. By creating an account, you represent that:
- You meet the age requirement
- You have the legal capacity to enter into this Agreement
- You are not prohibited from using our services under applicable laws
You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any losses resulting from unauthorized use of your account.
Users may submit information about AI tools to our directory. By submitting tool information, you:
- Warrant that you have the right to submit the information
- Grant us a license to display, modify, and distribute the submission
- Confirm the information is accurate, complete, and not misleading
- Accept that we may edit, reject, or remove submissions at our discretion
When posting reviews, ratings, or comments, you agree to:
- Provide honest, genuine feedback based on your actual experience
- Not post false, misleading, or defamatory content
- Not violate third-party intellectual property or privacy rights
- Not engage in manipulation (fake reviews, review bombing, etc.)
- Not include promotional content or spam
Account-linked star ratings.
The current tool-rating feature accepts a 1–5 star rating from an eligible signed-in account and does not accept a public text review. You may keep one active rating per account and tool and may edit or remove it. We may exclude ineligible, abusive, or banned-account ratings. A tool may show only an anonymous aggregate after the minimum publication threshold is met; publication is not guaranteed, and a user aggregate is not an editorial rating.
By submitting content to Toolso.AI, you grant us a:
- Worldwide, non-exclusive, royalty-free, perpetual license
- To use, reproduce, modify, adapt, publish, and display your content
- To create derivative works from your content
- To sublicense these rights to third parties
You retain ownership of your content, but you give us broad rights to use it.
We reserve the right to:
- Review, edit, or remove any user-submitted content
- Reject submissions that violate these Terms or our guidelines
- Suspend or ban users who repeatedly violate content policies
- Not be obligated to publish or maintain any user content
You may not submit, list, review, promote, link to, or otherwise use Toolso.AI for content or tools that contain, generate, solicit, enable, or facilitate any of the following:
- Pornographic, sexually explicit, or NSFW content
- Graphic violence, gore, or content that glorifies serious physical harm
- Hate speech or discriminatory content targeting protected groups
- Child sexual abuse material (CSAM), sexualized content involving minors, or any child-unsafe content
- Non-consensual deepfakes or impersonation, including use of a real person's likeness, image, or voice without authorization
- Copyright or trademark infringement, including tools or content offered without the necessary rights or licenses
These categories are prohibited, not merely restricted or allowed with a warning. We may reject or remove content, suspend accounts, preserve evidence, and report suspected illegal activity to the appropriate authorities.
Report suspected violations, child-safety concerns, non-consensual impersonation, or intellectual-property abuse to support@toolso.ai or through our contact form. This is a monitored channel. Include the relevant Toolso.AI URL and enough information for us to investigate. We review reports, remove confirmed violations, and escalate suspected illegal content when required.
All content on Toolso.AI (excluding user-submitted content and third-party tool information) is owned by us and protected by:
- Copyright laws (text, graphics, logos, design)
- Trademark laws (brand names, logos)
- Database rights (compilation of tool listings)
- Other intellectual property rights
You may not copy, reproduce, distribute, or create derivative works without our express written permission.
Trademarks, logos, and names of third-party AI tools are the property of their respective owners. Use of these marks:
- Does NOT imply endorsement by the trademark owner
- Is for informational and referential purposes only
- Must comply with fair use and nominative use principles
If you believe your intellectual property rights have been violated, please contact us at legal@toolso.ai.
You agree NOT to:
- Interfere with or disrupt our services or servers
- Use automated systems (bots, scrapers, crawlers) without permission
- Attempt to gain unauthorized access to our systems or user accounts
- Reverse engineer, decompile, or disassemble our software
- Distribute malware, viruses, or harmful code
- Submit false, misleading, or spam content
- Manipulate reviews, ratings, or rankings
- Impersonate others or misrepresent your affiliation
- Harvest or collect user data without consent
- Engage in phishing or social engineering
- Violate any applicable laws or regulations
- Infringe intellectual property rights
- Violate privacy rights or data protection laws
- Engage in fraud, deception, or unfair practices
- Facilitate illegal activities
- Use our services for unauthorized commercial purposes
- Resell or redistribute our content without permission
- Frame or mirror our website without authorization
- Use our brand or trademarks without consent
Violations may result in:
- Immediate suspension or termination of your account
- Removal of content and loss of data
- Reporting to law enforcement if illegal activity is suspected
- Legal action to recover damages
- Permanent ban from our platform
Our platform uses algorithms to provide personalized AI tool recommendations. You acknowledge that:
- Recommendations are automated and not human-curated for each user
- Recommendations are based on patterns, popularity, and user behavior
- We do not guarantee accuracy, relevance, or appropriateness
- You should independently evaluate recommended tools
Some content on our platform may be generated or enhanced by AI systems. This includes:
- Tool descriptions and summaries
- Category labels and tags
- Search result snippets
AI-generated content may contain errors, inaccuracies, or biases. Always verify information before relying on it.
Toolso.AI is an independent AI tool directory and review platform. It does not provide visitors with image generation, image-to-video, video generation, audio generation, or any other media-generation interface, and visitors cannot run or select generative models on Toolso.AI. Names such as Flux, Seedream, Nano Banana (Gemini), GPT Image, Veo, and Kling refer only to third-party tools or models cataloged or reviewed in the directory. Toolso.AI does not operate or resell those models and does not claim endorsement by their providers. Some internal editorial content may be AI-assisted as described in Section 8.2, but this is not a customer-facing generation service.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, either express or implied, including but not limited to:
- Merchantability or fitness for a particular purpose
- Non-infringement of third-party rights
- Accuracy, completeness, or reliability of content
- Availability, accessibility, or uninterrupted operation
- Security or freedom from viruses or harmful components
We do NOT guarantee that:
- Our services will be error-free or uninterrupted
- Defects will be corrected promptly (or at all)
- Our servers are free from viruses or harmful components
- Information on our platform is accurate, complete, or up-to-date
We disclaim all responsibility for:
- Accuracy or legality of third-party tool information
- Availability or functionality of linked third-party websites
- Content, products, or services offered by third parties
- Privacy practices of third-party websites
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TOOLSO.AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute goods or services
- Personal injury or property damage
- Unauthorized access to or use of our servers or your data
This limitation applies even if we have been advised of the possibility of such damages, and regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).
Our total liability to you for any claims arising from your use of our services shall NOT exceed:
- The amount you paid us in the 12 months preceding the claim, OR
- $100 USD, whichever is greater
These limitations are fundamental elements of the bargain between you and us. Our services would not be provided without these limitations.
You agree to indemnify, defend, and hold harmless Toolso.AI, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against:
- Any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees)
- Arising out of or related to:
- Your use or misuse of our services
- Your violation of these Terms
- Your violation of any rights of third parties
- Your user-submitted content
- Your use of third-party AI tools
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.
Toolso.AI currently sells one paid service: the Featured Listing for tool providers (the Premium (Paid) Channel described in Section 12.5). It is a one-time payment at the price shown on our Pricing page and at checkout before you pay. We do not currently sell subscriptions, memberships, lifetime plans, credit packages, or API access. If we introduce another paid service, we will publish its price and terms before it can be purchased.
Featured Listing payments are processed by Waffo Pancake, which acts as Merchant of Record: Waffo is the legal seller of the transaction and handles payment processing, applicable indirect taxes, invoices, receipts, and approved refunds. By completing a Waffo checkout, you agree to the Waffo Buyer Terms and Waffo Privacy Policy. The charge appears as "WAFFO" on your bank or card statement. See Section 18 for details.
Waffo calculates, collects, and remits applicable sales tax, VAT, GST, and other indirect taxes based on your billing location, and shows any tax at checkout before you authorize payment. After each purchase, Waffo emails an order confirmation with your invoice to the email address you enter at checkout. To download invoices or add billing details such as a company name or tax ID, sign in to the Waffo customer portal with that email address.
The Featured Listing is a one-time payment. It does not renew automatically, and you will not be charged again unless you make a new purchase. There is no subscription to cancel.
Toolso.AI offers the following submission channels for tool providers:
- Cost: Free of charge
- Requirement: A Toolso.ai brand link on your website's homepage that passes our verification before your tool goes live
- Review Timeline: Standard review queue, estimated at 5–7 business days
- Website Link: User-submitted link marked

- Placement: Standard listing
- Cost: One-time payment at the price shown on our Pricing page and at checkout
- Requirement: No brand link required
- Review Timeline: Review completed within 24 hours after your submission is complete (see Section 12.6)
- Website Link: Clickable link marked

- Placement: Featured placement on the homepage and category pages for 30 days after publication
- Premium Badge: Included
- Performance Report: Real listing-page view and website-click data for up to 90 days
- Editorial Support: One editorial review and optimization, plus priority updates during the featured period
Payment does not guarantee approval. Every tool is reviewed against the same listing standards, whichever channel is used (see Section 17.6).
Tool providers who initially submitted through the Free (Backlink) Channel may upgrade to the Premium (Paid) Channel at any time by paying the applicable fee. Premium benefits are activated after payment is confirmed. If payment is canceled or fails during the upgrade, the tool keeps its existing Free (Backlink) Channel status unchanged.
You may request a full refund of a Featured Listing payment if:
- Review is not completed within 24 hours after your submission is complete, even if your tool is approved later; or
- Your tool is rejected during review.
A Featured Listing submission is complete when your payment goes through. If you upgrade a tool first submitted through the Free (Backlink) Channel, the 24 hours start when your upgrade payment goes through. A draft saved without payment is not a completed submission.
Requests must be sent to support@toolso.ai within 14 days of the missed review deadline or of our rejection notice. If a refund is issued after your tool has been published, the Premium benefits for that payment end.
If your tool is approved and published within the 24-hour review window, the service is considered delivered and the payment is not refundable. If a payment cannot be applied to your tool, for example a duplicate payment for a tool that is already paid, we refund that payment in full.
Nothing in these Terms limits any rights you have under applicable consumer protection law. See our Refund Policy for how to request a refund.
We may change the Featured Listing price at any time. The price that applies to your purchase is the one shown at checkout when you pay. Price changes do not affect completed purchases.
You may terminate your account at any time by:
- Using the account deletion feature in your settings
- Contacting us at support@toolso.ai
Upon termination:
- Your access to paid features will cease at the end of the billing period
- Your user data will be deleted within 30 days (except as required by law)
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or our policies
- Your account is inactive for 2 years
- We are required by law to terminate your access
- Continuing to provide services would pose legal or security risks
- You engage in abusive behavior toward our staff or community
Upon termination:
- Your right to use our services immediately ceases
- We may delete your account and data
- You remain liable for any outstanding payments
- Sections of these Terms that by their nature should survive will continue to apply
Before filing a claim, you agree to contact us and attempt to resolve the dispute informally. Contact us at legal@toolso.ai with a description of the dispute.
These Terms are governed by the laws of 中华人民共和国, without regard to conflict-of-law principles. If informal resolution under Section 14.1 does not resolve a dispute, the parties submit to the courts with lawful jurisdiction in 中华人民共和国, except where mandatory consumer-protection law gives you the right to bring proceedings elsewhere.
We may modify these Terms at any time. Changes will be effective:
- Immediately upon posting for non-material changes
- 30 days after notice for material changes
Continued use after changes constitutes acceptance of the new Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding our services.
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control (natural disasters, war, pandemic, government actions, etc.).
No agency, partnership, joint venture, or employment relationship is created between you and us as a result of these Terms or your use of our services.

If you submit your own AI tool to our directory, the following additional terms apply:
You represent and warrant that:
- You own or have the right to promote the tool
- All information provided is accurate, current, and not misleading
- The tool complies with applicable laws and regulations in all jurisdictions where it operates
- You have the authority to enter into this Agreement on behalf of the tool's owner or operator
- Tool submissions are available through the Free (Backlink) Channel and the Premium (Paid) Channel as described in Section 12.5
- By selecting the Premium Channel, you agree to pay the applicable fee and acknowledge that the payment is processed by Waffo Pancake acting as Merchant of Record (see Section 18)
- Premium Channel benefits (including featured placement, the 90-day performance report, and the Premium listing badge) are activated only upon successful payment confirmation
- Featured placement is provided for a fixed period (currently 30 days from publication) and does not guarantee specific traffic, clicks, or conversion results
- Premium (Paid) Channel: The website link is marked
sponsored. Paid placement does not promise or sell search ranking credit.
- Free (Backlink) Channel: The user-submitted website link is marked
ugc nofollow. It remains clickable but does not promise search ranking credit.
- We reserve the right to change a tool's link type if we determine the tool violates our policies, applicable laws, or these Terms
We may remove your tool listing at any time if:
- The tool becomes unavailable or discontinued
- We receive complaints, negative reports, or abuse reports regarding the tool
- The tool violates laws, regulations, or our policies
- The information provided is found to be false, misleading, or outdated
- You request removal
- For Free (Backlink) Channel submissions, the required backlink to Toolso.AI is removed or altered
Removal of a listing does not entitle you to a refund of any Premium Channel fees, except as described in Section 12.6 and our Refund Policy.
We do not guarantee:
- Visibility, ranking, or positioning of your tool listing
- Traffic, clicks, impressions, or conversions from our platform
- Continued listing of your tool on our platform
- Specific review outcomes — payment of the Premium Channel fee does not guarantee approval; tools must meet our quality and content guidelines regardless of submission channel
- All submitted tools are subject to editorial review regardless of submission channel
- We reserve the right to reject, modify, or request changes to any submission
- Premium Channel submissions receive priority review (24-hour SLA) but are held to the same quality standards as Free Channel submissions
- A rejected Premium Channel submission is eligible for a refund as described in Section 12.6
For Featured Listing (Premium Tool Submission) transactions, Waffo Pancake (waffo.ai) is the Merchant of Record and legal seller. Waffo:
- processes the payment, including collecting your payment details and charging the amount shown at checkout
- calculates, collects, and remits applicable indirect taxes
- issues invoices and receipts by email
- processes approved refunds to your original payment method
Payment-card data entered at Waffo checkout is processed by Waffo and is not stored on Toolso.AI servers. Waffo shares limited transaction information with Toolso.AI, such as payment status, order number, and the email address used at checkout, so that we can deliver your order.
- Toolso.AI is responsible for delivering the service you purchased, including editorial review, listing status, featured placement, performance reports, and product support
- Toolso.AI remains your primary point of contact for questions about the service, your submission, and your account
- Refund requests should be sent to support@toolso.ai. We review them under Section 12.6 and our Refund Policy, and approved refunds are processed by Waffo
By using Toolso.AI, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
